Terms and Conditions of Sale

1. Purpose

These General Terms and Conditions of Sale (hereinafter the “GTC”) govern the contractual relationship between any user (hereinafter the “Customer”) and PILBEE GmbH, the operator of the AGENTOVA.AI platform, accessible at https://www.agentova.ai.

Any use of the platform implies full, complete, and unconditional acceptance of these Terms and Conditions.

3. Service Description

AGENTOVA.AI is a SaaS platform that enables users to automate certain business tasks using specialized intelligent chatbots (including customer service, sales prospecting, SEO, content creation, marketing, and internal organization).

Access to the platform's features is available through a paid subscription, which can be purchased on a monthly, quarterly, or annual basis.

4. Access to the Service

Access to services is subject to the following conditions:

• creating a user account;
• acceptance of these General Terms and Conditions of Sale (GTCS) and the General Terms and Conditions of Use (GTCU);
• signing up for a paid subscription at the end of the trial period.

The Customer is entitled to a free 7-day trial, calculated on a calendar basis starting from the date of registration.
At the end of this period, the selected subscription is automatically activated and billed, unless the Customer cancels it in advance through their personal account.

Notwithstanding the terms described in this article, subscriptions purchased through an Agentova sales representative may include a commitment period, a payment schedule, and/or trial terms that differ from those set forth above. These specific terms are then presented to the Customer prior to subscription, and confirmation of the order constitutes express acceptance of the specific terms applicable to the Customer’s offer.

5. Rates

Prices are listed in euros or Swiss francs (depending on the geographic region and billing currency) and are clearly displayed at the time of subscription.

Subscriptions can be:

• monthly;
• quarterly;
• annual.

PILBEE GmbH reserves the right to change its rates at any time.
Any rate changes will apply only as of the next billing period, after the Customer has been notified in advance.

6. Payment

Payment is made by credit card through a secure payment service provider.

The subscription fee is automatically charged on each due date, according to the selected billing cycle.

The Customer agrees to provide accurate, valid, and up-to-date payment information for the entire duration of their subscription.

7. No Refund

At the end of the free trial period, any confirmed payment is final and non-refundable.
No refunds will be issued, even in the event of partial use or non-use of the service.

The Customer is solely responsible for managing and canceling their subscription through their personal account, under the “Manage Billing” section.

Any cancellation must be made before the renewal date; otherwise, the automatic payment will be processed.

As an exception, a refund may be considered only if:

• in the event of a clear error attributable to AGENTOVA.AI;
• or in the event of a confirmed technical malfunction that prevents cancellation through the interface, as determined by technical support.

8. Termination

The Customer may cancel their subscription at any time through their personal account.

Cancellation can only be performed by the Customer.
AGENTOVA.AI has no access to payment methods or billing settings that would allow it to perform this action on the Customer’s behalf.

Unless the subscription is canceled before the renewal date, it is automatically renewed for the next period.

The cancellation takes effect at the end of the current subscription period.
No refunds, including pro-rata refunds, will be issued for any partial period.

9. Suspension or Restriction of Access

AGENTOVA.AI reserves the right to suspend or restrict access to the service, either temporarily or permanently, in the following cases, among others:

• obvious misuse of the service (unintended excessive use, excessive creation of workspaces);
• fraudulent use (account sharing, malicious or illegal automation);
• for any breach of these Terms and Conditions of Sale or the Terms of Use.

An adjustment or a change in the service plan may be offered to the Customer if circumstances permit.

10. Liability

AGENTOVA.AI provides a support and automation platform.
The agents provided do not constitute legal advice, financial advice, or personalized professional advice.

PILBEE GmbH shall not be held liable for any decisions, actions, or consequences resulting from the use of the agents or the responses generated by the platform.

The Customer remains solely responsible for:

• agent configuration;
• the transmitted data;
• how it uses the results it produces.

11. Intellectual Property

The agents Arthur, Elisa, Margot, Charlotte, Ethan, Benoît, Samy, and Amandine, along with all their logic, rules, architectures, and features, are the exclusive property of PILBEE GmbH.

The Customer retains ownership of the data it submits to the platform and may request that it be exported, subject to technical limitations.

Agents, their operations, and their components may not be exported or transferred.

12. Governing Law and Jurisdiction

These Terms and Conditions are governed by Swiss law.

In the event of a dispute, the parties shall endeavor to reach an amicable resolution.
If no agreement is reached, the dispute shall be subject to the exclusive jurisdiction of the courts of the Canton of Zug (Switzerland).

13. Changes to the Terms and Conditions

PILBEE GmbH reserves the right to amend these Terms and Conditions at any time.

The Customer will be notified of any updates by email or via a notification in their account.
The applicable Terms and Conditions are those in effect on the date the service is used.
